End-User Terms of Service

Introduction

The following is the default Terms of Service for end users of the Orbit platform, which is presented on all Orbit-powered sites. Organizations using the Orbit platform may supplement these terms with additional Organization-specific terms. If your Organization has additional terms, you are subject to both these default terms and those additional Organization terms.

By accessing or using an Orbit-powered site operated by an Organization (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

The Organization operating your site ("Organization," "they," "them") controls the Service features you access. Orbit is provided by Empathy Works Inc. ("Platform," "we," "us," "our"), located at 329 Howe St, Unit #540, Vancouver, BC, V6C 3N2, Canada.

Your failure to comply with these Terms may result in termination of your account and loss of access to the Service.


1. Definitions

  • "Service" refers to the Orbit-powered site operated by your Organization, including all features, content, and functionality.
  • "Organization" refers to the membership organization that operates the Service instance you are using.
  • "Platform" refers to the Orbit software and infrastructure that powers the Service.
  • "End User" or "Member" refers to you—any individual who creates an account and participates in the Organization's community through the Service.
  • "Content" refers to text, images, files, videos, and other materials you or the Organization upload, submit, or display through the Service.
  • "Account" refers to your personal account and profile on the Service.

2. General Terms and Eligibility

2.1 Age Requirement

You must be at least 16 years of age to use the Service. By creating an account, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into this agreement.

2.2 Right to Refuse or Terminate

The Organization and Platform reserve the right to refuse or discontinue your access to the Service at any time, for any reason, including but not limited to violation of these Terms or any Organization-specific terms.

2.3 Account Security

You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You agree to notify the Organization immediately of any unauthorized use of your account.

You agree to use the Service only for lawful purposes and in accordance with all applicable laws and regulations. You agree not to use the Service to:

  • Engage in illegal activities or violate any law
  • Distribute spam, malware, viruses, or malicious content
  • Exploit the Service to access unauthorized information or bypass security measures
  • Abuse, harass, or threaten other users or Organization personnel
  • Disrupt or interfere with the Service or its operations

3. Account Registration

3.1 Registration Information

To access the Service, you must create an account by providing accurate information, typically including your email address, name, and password. You may also sign up using third-party authentication providers (such as Google OAuth) or a Single Sign-On (SSO) provider configured by your Organization.

3.2 Account Approval

Some Organizations may require administrator approval before your account becomes active. You will be notified by email when your account is approved.

3.3 One Account Per Person

You may maintain only one account per Organization. Duplicate accounts may be merged or removed at the Organization's discretion.

3.4 Information Accuracy

You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. We reserve the right to suspend or terminate accounts that contain false or misleading information.


4. Membership and Subscriptions

4.1 Membership Levels

Your Organization may offer multiple membership levels, each with different benefits, pricing, and durations. Your membership status may be Pending, Active, Expired, or Cancelled. Access to member-only features depends on having an Active membership.

4.2 Automatic Renewal

Memberships may automatically renew at the end of each billing period. If your membership is set to auto-renew:

  • Subscription terms and pricing are disclosed prior to purchase
  • Your membership will automatically renew unless you cancel
  • You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of your current billing period
  • All membership terms are determined by your Organization

4.3 Membership Expiration

Memberships with a defined term will expire at the end of that period. Your Organization may send reminder emails before expiration but is not obligated to do so.


5. Payments and Billing

5.1 Payment Processing

Payments are processed through Stripe, a third-party payment processor. By making a purchase, you agree to Stripe's Terms of Service and Privacy Policy.

5.2 Pricing

Prices for memberships, events, courses, and other items are displayed at the time of purchase and may be subject to applicable taxes. Your Organization may change pricing at any time, though changes will not affect existing active subscriptions until renewal.

5.3 Recurring Subscriptions

If you purchase a recurring subscription, you authorize Stripe to charge your payment method at the beginning of each billing cycle. You may cancel a recurring subscription at any time; cancellation takes effect at the end of your current billing period.

5.4 Refund Policies

Refund policies are determined by your Organization. Please contact your Organization directly regarding refund requests for memberships, events, courses, or other purchases. The Platform is not responsible for Organization refund policies.

5.5 Failed Payments

If a payment fails, your access to paid features may be suspended until a valid payment method is provided.

5.6 Chargebacks

If you encounter an issue with a charge, please contact your Organization's support team before initiating a chargeback. Your Organization is the merchant of record for charges related to your membership and purchases. Abusive or fraudulent chargeback activity may result in account suspension or permanent termination of your access to the Service.


6. Events and Registrations

6.1 Event Registration

You may register for events offered by your Organization. Registration may be free or require payment. By registering, you agree to provide accurate attendee information (name, email, organization, job title, etc.).

6.2 Virtual Events

Some events may be hosted via Zoom. By registering for a virtual event, you acknowledge that your registration information may be shared with Zoom to facilitate your participation. Zoom's use of your data is governed by Zoom's Privacy Policy.

6.3 Event Changes and Cancellation

Your Organization reserves the right to cancel, reschedule, or modify events. Your Organization will make reasonable efforts to notify registered attendees and process applicable refunds.

6.4 Attendance Tracking

Your Organization may track event attendance for administrative and reporting purposes.


7. Courses and Educational Content

7.1 Course Enrollment

Your Organization may offer courses that require enrollment and may involve payment. Course access may be time-limited or perpetual depending on your Organization's configuration.

7.2 Course Content

Course materials, including videos, documents, and assessments, are provided for educational purposes and remain the intellectual property of your Organization or its content creators.


8. Member Directory

8.1 Directory Profiles

Your Organization may maintain a member directory. If you create or are assigned a directory profile, the information you provide (name, organization, job title, bio, location, expertise, social media links, website, and photo) may be visible to other members or the public, depending on your Organization's directory settings.

8.2 Location Data

If you provide location information (city, country, or address), it may be geocoded to display your approximate location on maps within the directory. Providing location data is optional.

8.3 Profile Management

You are responsible for the accuracy of your directory profile and may update, remove, or request removal of your directory listing at any time through your account settings.


9. User Content and Submissions

9.1 Content You Submit

When you submit content through the Service (including directory profiles, event registrations, forum posts, or other user-provided information), you retain ownership of that content. However, by submitting content, you grant your Organization a non-exclusive, royalty-free license to use, host, store, reproduce, and display your content within the Service only. This license does not include the right to create derivative works beyond formatting, display, or technical operation necessary to provide the Service.

You also grant the Platform a limited license to use your content solely to operate and improve the Service, including monitoring for compliance and abuse.

Upon termination of your account or these Terms, these licenses survive only for backup retention, legal compliance, or residual caching purposes.

9.2 Prohibited Content

You agree not to submit content that:

  • Is unlawful, defamatory, obscene, or harassing
  • Infringes on the intellectual property rights of others
  • Contains malware, viruses, or malicious code
  • Impersonates another person or entity
  • Violates any applicable law or regulation
  • Exploits or harms children

9.3 Content Moderation

Your Organization reserves the right to remove, modify, or decline to publish any content at its sole discretion, with or without notice.


10. Organization Content and Resources

10.1 Resource and Course Materials

Content provided by your Organization (courses, resources, documents, videos, announcements, and other materials) is licensed for your personal, non-commercial use only. You agree not to reproduce, distribute, modify, publicly display, or otherwise use Organization content outside of the Service without explicit written permission from your Organization.

Your Organization may grant additional usage rights at its discretion.


11. Communications and Email

11.1 Transactional Emails

By creating an account, you agree to receive essential transactional emails, including account verification, password resets, payment confirmations, and security alerts. These emails cannot be opted out of.

11.2 Operational Notifications

Your Organization may send you operational emails such as membership renewal reminders, event confirmations and reminders, and account-related notifications. You may opt out of these notifications through your account settings.

11.3 Marketing Communications

Your Organization may send newsletters, announcements, and promotional content. You may opt out of marketing emails at any time using the unsubscribe link included in each email or through your account settings.

11.4 Email Tracking

Emails sent through the Service may include tracking technologies to monitor delivery, opens, and clicks for analytics purposes. Refer to the Privacy Policy for more details.


12. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Attempt to gain unauthorized access to any part of the Service or other accounts
  • Use the Service to transmit spam, chain letters, or unsolicited communications
  • Interfere with, disrupt, or overload the Service or its servers
  • Use automated scripts, bots, or scrapers to access the Service without authorization
  • Attempt to reverse-engineer, decompile, disassemble, or hack the Service
  • Use the Service in any manner that could damage, disable, impair, or overburden the Service
  • Engage in any form of abuse, harassment, or threats directed at other users or Organization personnel

13. Intellectual Property

13.1 Platform Intellectual Property

The Orbit platform, including its software, design, user interface, text, graphics, and other content, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Platform without express written permission from Empathy Works Inc.

13.2 Organization Content

Content created and published by your Organization (events, courses, resources, announcements) is the property of your Organization and is protected by applicable intellectual property laws.


14. Account Termination

14.1 Voluntary Termination

You may delete your account at any time through your account settings. Account deletion requires email confirmation and is permanent. Refer to the Privacy Policy for details on data retention after account deletion.

14.2 Termination by Organization or Platform

Your Organization or the Platform may suspend or terminate your account at any time, for any reason, including but not limited to violation of these Terms, non-payment, abuse, or inactivity.

14.3 Effects of Termination

Upon account termination:

  • Your access to the Service will be revoked immediately
  • Your active memberships will be cancelled
  • Your directory profile will be removed
  • Your event registrations may be retained by your Organization for administrative records
  • Your purchase history may be retained for legal, accounting, and compliance purposes

15. Data Isolation

The Platform serves multiple Organizations in isolated environments. Your data within one Organization is not accessible to other Organizations on the Platform. Your privacy and data security are protected through this multi-tenant isolation.


16. Third-Party Services and Integrations

The Service integrates with third-party services including but not limited to Stripe (payments), Zoom (virtual events), Google (authentication), and email delivery providers. Your use of these integrations is subject to the respective third party's terms of service and privacy policies. The Platform and your Organization are not responsible for the practices of third-party service providers.


17. Data Export

You may request a personal data export containing your profile information, activity history, and other personal data. Data export requests are processed within 30 days of submission and are provided in Excel and JSON formats. You can request a data export through your account settings or by contacting your Organization.


18. Privacy

Your use of the Service is subject to the Platform's Privacy Policy. Refer to the Privacy Policy for information on how your personal data is collected, used, stored, shared, and your rights regarding your data.


19. Disclaimers

19.1 "As Is" Service

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

19.2 Service Availability

We do not guarantee that the Service will be uninterrupted, secure, or error-free. The Platform reserves the right to modify, suspend, or discontinue the Service at any time. If the Platform decides to discontinue the Service, affected users will receive at least 90 days' advance notice to export data.


20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YOUR ORGANIZATION, THE PLATFORM, EMPATHY WORKS INC., OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


21. Indemnification

You agree to indemnify, defend, and hold harmless your Organization, the Platform, and Empathy Works Inc. from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, violation of these Terms, or infringement of any rights of another party.


22. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflicts of law principles.

22.1 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with the Platform shall be resolved through binding arbitration administered in accordance with applicable arbitration rules. Arbitration shall be conducted in Vancouver, British Columbia, Canada.

22.2 Exceptions to Arbitration

  • Small Claims Court: Either party may pursue claims in small claims court if the claim falls within that court's jurisdiction, instead of arbitration.
  • Class Action Waiver: By agreeing to arbitration, you agree that you will not pursue claims on a class-wide or representative basis. Arbitration shall be conducted on an individual basis only.

23. Modifications to Terms

The Platform may modify these Terms at any time. Material changes will be posted on the Service, and the "Last Updated" date will be updated. Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms.


24. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

These Terms, together with the Privacy Policy and any additional terms provided by your Organization, constitute the entire agreement between you and the Platform and your Organization regarding your use of the Service.
